1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Dude Lemon, LLC ("Dude Lemon," "we," "us," or "our") governing your access to and use of SearchLift, an AI search-visibility tool that audits a website, monitors how search engines and AI assistants represent a business, tracks AI-referred traffic, and helps publish search-optimized content (the "Service"). By creating a workspace, installing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
2. Eligibility
You must be at least 16 years old and capable of forming a binding contract to use the Service. SearchLift is a business tool and is not directed to children.
3. The Service
SearchLift audits and scores a Merchant's pages, generates search-optimized content and structured data, monitors how AI assistants describe the Merchant's business, and reports visibility and AI-referred traffic. Features and limits depend on your plan and on the platforms and accounts you choose to connect. We may add, change, or remove features over time.
4. Your Account
You are responsible for the accuracy of the information you provide, for keeping your account credentials and sign-in codes secure, and for all activity under your workspace. Sign-in is passwordless: we email a one-time code to verify your address. We never create a workspace from an unverified email, and a sign-in attempt for an address with no workspace does not create one.
5. Plans, Billing, and Cancellation
- Plans. The Service is offered on free and paid plans. Paid plans bill in advance on a recurring basis at the fees shown at the time of purchase, until cancelled.
- Cancellation. You may cancel a paid plan at any time. Cancellation stops future charges and takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
- Changes. We may change plans, features, or pricing, and will give reasonable notice of material changes affecting a paid plan.
- Taxes. Fees are exclusive of taxes, which you are responsible for except for taxes on our net income.
6. Payments
Paid plans are processed by our third-party payment processor (Stripe). We do not store full payment card numbers; payment details are handled by the processor under its own terms and privacy policy. You authorize us and our processor to charge your payment method for the applicable fees.
7. Merchant Responsibilities
You are responsible for your use of the Service and for the content you publish with it. You agree to:
- Comply with all applicable laws and with the rules of search engines and platforms you target or connect.
- Review AI-generated content and structured data before publishing it, and ensure it is accurate and not misleading.
- Have the rights to the site, content, and connected accounts you submit to the Service.
- Not use the Service for deceptive SEO, spam, cloaking, or other practices that violate a platform's policies or the law.
8. Acceptable Use
You agree not to: violate any law or platform policy; infringe intellectual-property or privacy rights; transmit malware or harmful code; attempt unauthorized access to the Service or its systems; interfere with or disrupt the Service; or use the Service to build a competing product. We may investigate and take action, including suspension, for violations.
9. AI Features and Output
SearchLift uses artificial intelligence to audit visibility, generate search-optimized content and structured data, and run accuracy checks, and it queries third-party AI assistants to observe how they describe a Merchant's business.
- AI-generated output may be inaccurate, incomplete, or unsuitable for a particular situation. It is provided as an aid and must not be relied on as professional advice.
- You are responsible for reviewing and supervising AI output and for any content published from your account.
- We do not warrant the accuracy, reliability, or fitness for a particular purpose of any AI-generated content, or any specific search ranking, traffic, or citation outcome.
10. Third-Party Platforms and Integrations
The Service runs on, or connects to, third-party platforms and services, including Wix, Google (Search Console and Analytics), Cloudinary, Stripe, and third-party AI assistants (ChatGPT, Claude, Gemini, Perplexity, and Grok). Connected accounts are linked only when you choose to connect them. Your use of those platforms is governed by their own terms, we do not control them, and we are not responsible for their availability or actions. The Service is not endorsed by or affiliated with these platforms unless we state otherwise.
11. Intellectual Property
The Service, including its software, design, and content, is owned by Dude Lemon or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. Your data and content remain yours; you grant us the rights needed to host, process, and display it to operate the Service. Content generated for you with the Service is yours to use, subject to your payment and these Terms.
12. Privacy
Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms by reference.
13. Suspension and Termination
You may stop using the Service and request deletion of your workspace at any time. We may suspend or terminate access, with or without notice, for conduct that violates these Terms, that creates risk or legal exposure, or that a connected platform requires us to act on. Sections that by their nature should survive (such as payment obligations, disclaimers, and limitation of liability) will survive termination.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ANY PARTICULAR SEARCH RANKING, TRAFFIC, OR AI-CITATION RESULT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUDE LEMON AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, TRAFFIC, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
16. Indemnification
You agree to indemnify and hold harmless Dude Lemon from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, the content you publish, your data, your violation of these Terms, or your violation of any law or third-party right.
17. Dispute Resolution
The parties will first try to resolve any dispute through good-faith negotiation for at least 30 days. If unresolved, the dispute will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in the State of Wyoming. Disputes will be conducted only on an individual basis and not in a class or representative action, and each party waives any right to a jury trial. Either party may still seek injunctive relief in court to protect intellectual-property rights.
18. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Any action not subject to arbitration will be brought exclusively in the state or federal courts located in Wyoming.
19. General Terms
If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any order or plan you purchase, are the entire agreement between you and us regarding the Service.
20. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
